Terms & Conditions
Last updated: 12 October 2026
1. Introduction
These Terms & Conditions ("Terms") govern website design, development, hosting and related services provided by SPRED SOLUTIONS, a business of SPRED EVENTS LLP (UEN T26LL0881G) ("SPRED SOLUTIONS", "we", "us", "our"), to any client ("you", "your", "the Client").
By accepting a quotation, or making any payment to us (including a deposit), you confirm that you have read, understood and agree to these Terms and our Refund Policy.
2. Scope of work
The work we will do (for example the pages, features, integrations and number of revision rounds) is set out in the quotation you accept. Anything not listed in the quotation is out of scope and will be quoted separately before we start it.
3. Payment
- All prices are in Singapore Dollars (SGD) unless stated otherwise in the quotation.
- A non-refundable deposit of 50% of the quotation amount is required before work starts. Your project is scheduled once the deposit is received.
- The remaining 50% is due before the website is launched. We launch the website, and hand over files and account access, once payment has been made in full (for retainer clients, see section 10).
- Additional work you request outside the agreed scope is invoiced separately and is due within 7 days of the invoice date.
- Hosting, maintenance and other recurring services are billed in advance for the period stated in the quotation, and renew automatically until cancelled (see section 10).
4. Your responsibilities
- You provide the content we need (text, images, logos, product and service details) and timely feedback and approvals. Timelines depend on receiving these on time.
- You confirm that you own, or have permission to use, all the content you give us, and that it does not break any law or anyone else's rights.
- You are responsible for the accuracy of your content, and for your own legal obligations as a website owner, such as your privacy policy and any rules that apply to your industry.
5. Revisions and changes
The number of revision rounds included is stated in your quotation. Further revisions, or changes to work you have already approved, may be charged separately. We'll tell you the cost before we proceed.
6. Delays and paused projects
If we don't receive the content, feedback or approvals we need for more than 7 days, we may pause your project. A paused project is restarted when our schedule allows, and may need a revised timeline. If a project stays paused for more than 30 days, we may close it and invoice for the work completed to date, less any amount already paid. The deposit is not refunded.
7. Third-party services and costs
Domains, hosting, email, paid plugins, stock images, fonts, booking or payment providers and other third-party services are subject to their own terms. Unless included in your quotation, their fees are paid by you. We are not responsible for changes, outages or price increases by third-party providers.
8. Launch and warranty
Once the website is launched, we will fix any defects in the work we delivered that you report to us within 30 days of launch, at no charge. This does not cover new features, changes to approved content or design, or problems caused by changes made by you or a third party, or by third-party services.
9. Ownership
- Once you have paid in full, you own the website's design and the content created for you, and you may use them as you wish.
- We keep ownership of our own tools, code libraries, templates and know-how that we use across projects. You receive a permanent licence to use them as part of your website.
- Third-party items (for example fonts, plugins and stock images) remain subject to their own licences.
- Unless you ask us not to in writing, we may show your website in our portfolio and marketing.
10. Retainers, hosting and maintenance
Where we provide hosting, maintenance or a monthly retainer, the services and response times are as described in your quotation.
Unless your quotation says otherwise, the retainer fee covers:
- Hosting and HTTPS: hosting on a secure global network, with the security certificate renewed automatically.
- Domain and DNS management: managing your domain, DNS and email records, and tracking renewals.
- Content updates: small changes to existing pages, such as prices, text, photos, team members and announcements, up to the amount stated in your quotation.
- Security and upkeep: keeping the website's set-up secure and up to date.
- Checks: regular checks that your website is online and your enquiry forms are delivering.
- Search Console monitoring: watching for indexing errors and fixing them.
- Support: one point of contact by email or WhatsApp.
The retainer fee does not cover new pages or features, redesigns, large content changes, or third-party fees (such as domain renewals, paid plugins or email accounts), unless they are listed in your quotation. We will quote for these before starting any work.
While you are on a retainer with us, your domain name, Cloudflare account, hosting and related technical accounts are registered, held and controlled by SPRED SOLUTIONS. This lets us manage, secure and update your website without delay. We will not use your domain or website for any other purpose. When the retainer ends and all fees have been paid, we will transfer the domain to you and hand over the website files on request; any third-party transfer fees are paid by you.
Either party may cancel a recurring service with 30 days' written notice; fees already paid for the current period are not refunded. If recurring fees are unpaid for more than 30 days, we may suspend the service until payment is received.
11. Search results and performance
We build websites with search engines in mind, but rankings, traffic and enquiries depend on many things outside our control. We do not guarantee any particular position in search results or level of business.
12. Liability
We will perform our services with reasonable skill and care. To the fullest extent permitted by Singapore law, our total liability to you in connection with a project shall not exceed the fees you have paid us for that project, and we are not liable for any indirect or consequential loss, including loss of profit, business or data. You are responsible for keeping your own copies of your content.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Singapore law.
13. Confidentiality
Both parties agree to keep confidential any non-public business information shared during the project, including passwords and account access, except where disclosure is required by law or needed to deliver the agreed services.
14. Governing law
These Terms are governed by the laws of Singapore, and any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
15. Changes to these Terms
We may update these Terms from time to time. The version in force when you accept a quotation applies to that project.
16. Contact
Questions about these Terms can be sent to enquiry@spredsolutions.com or +65 8088 1851.
